Acceptance of Terms

Welcome to RetireMap Japan. These Terms of Service ("Terms") constitute a legally binding agreement between you and RetireMap Japan ("Company," "we," "us," or "our") governing your access to and use of our website, services, tools, and applications (collectively, the "Services").

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Eligibility Requirements

To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract under Japanese law. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using our Services on behalf of an organization (such as an employer accessing our enterprise solutions), you represent that you have the authority to bind that organization to these Terms.

Account Registration and Security

To access certain features of our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You may not share your account with others, create multiple accounts, or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these requirements.

Service Descriptions and Limitations

RetireMap Japan provides retirement planning tools, including pension calculators (Kokumin Nenkin and Kosei Nenkin), NISA and iDeCo contribution planners, ETF screening tools, and retirement cash flow modeling. Our Services are designed to assist with financial planning but do not constitute financial advice, investment recommendations, or legal counsel.

While we strive for accuracy, our calculators and projections are based on information you provide and publicly available data. Results are estimates and may not reflect actual outcomes. You should not rely solely on our Services for making financial decisions.

Our Services are provided for informational and educational purposes only. We are not a registered investment advisor, broker-dealer, or financial institution. For personalized financial advice, please consult with a qualified financial professional.

Subscription Plans and Billing

We offer both free and paid subscription plans. Paid plans are billed on a monthly or annual basis, as selected during signup. By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fee and any applicable taxes.

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free plan.

We reserve the right to change subscription prices with at least 30 days' notice. Price changes will apply to subsequent billing periods. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.

Enterprise subscriptions are governed by separate written agreements. In the event of any conflict between these Terms and an enterprise agreement, the enterprise agreement will control.

Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period.

Refunds are generally not provided for partial billing periods. However, if you experience technical issues that prevent you from using our Services and we are unable to resolve them within 14 days, you may be eligible for a prorated refund for the affected period.

If we terminate your account for violation of these Terms, you will not be entitled to any refund of prepaid subscription fees.

User Responsibilities and Prohibited Conduct

When using our Services, you agree to:

Provide accurate information in all calculators and tools. Entering false or misleading data may result in inaccurate projections and planning recommendations.

Use the Services only for lawful purposes and in accordance with these Terms. You may not use our Services to violate any Japanese or international law or regulation.

Respect intellectual property rights. You may not copy, modify, distribute, sell, or lease any part of our Services or included software.

You specifically agree not to:

Attempt to gain unauthorized access to our systems, servers, or networks through hacking, password mining, or any other means.

Use automated systems (bots, scrapers, crawlers) to access our Services without prior written permission.

Interfere with or disrupt the integrity or performance of our Services or the data contained therein.

Transmit viruses, malware, or any other harmful code through our Services.

Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

Use our Services to develop competing products or services.

Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, software code, calculators, algorithms, and data compilations, are owned by RetireMap Japan or our licensors and are protected by Japanese and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms. This license does not include any right to resell or commercial use of our Services, any derivative use, or any downloading or copying of account information for the benefit of another party.

You retain ownership of the data you input into our Services. By using our Services, you grant us a license to use, store, and process your data solely for the purpose of providing and improving our Services.

Disclaimers and Limitations of Liability

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy, completeness, or reliability of any content, projections, or calculations provided through our Services.

To the maximum extent permitted by Japanese law, RetireMap Japan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our Services.

Our total liability to you for any claims arising from or related to these Terms or your use of our Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless RetireMap Japan, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of our Services; your violation of these Terms; your violation of any rights of another party; or any content you submit through our Services.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also update these Terms from time to time to reflect changes in our practices, legal requirements, or service offerings.

We will notify you of material changes to these Terms by email or through a prominent notice on our website at least 30 days before the changes take effect. Your continued use of our Services after the effective date constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using our Services and may cancel your subscription as described in these Terms.

Termination

We may suspend or terminate your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. We may delete your account and all associated data, subject to our legal retention obligations. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.

Governing Law and Dispute Resolution

These Terms and any disputes arising from or related to these Terms or your use of our Services shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Tokyo, Japan, and you consent to the personal jurisdiction of such courts.

Before filing any legal claim, you agree to first contact us at legal@delmarwyn.com to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a resolution.

Compliance with Japanese Financial Regulations

Our Services are designed to comply with applicable Japanese laws and regulations, including the Financial Instruments and Exchange Act, the Act on the Protection of Personal Information, and pension-related regulations.

We are not a licensed financial advisor or broker under Japanese law. Our Services do not constitute regulated financial advice or investment recommendations. Users seeking such services should consult with appropriately licensed professionals.

Third-Party Services and Links

Our Services may contain links to third-party websites or services, including broker partners and educational resources. These links are provided for your convenience, but we do not endorse or assume responsibility for the content, privacy policies, or practices of any third-party sites.

If you access third-party services through our platform, you do so at your own risk. We encourage you to review the terms and privacy policies of any third-party services before providing them with personal information.

Force Majeure

We shall not be liable for any failure or delay in performance of our Services due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or failures of third-party service providers.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RetireMap Japan regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral.
